This Training Partner Agreement (Agreement) is executed on this (Effective Date),

(Hereinafter referred to as "InPAT Pro" or "Implementation Partner")

InPAT Pro and TP shall collectively be known as "Parties" and individually as "Party".
1.1 InPAT Pro provides a white-label Learning Management System (LMS) with content, simulations, dashboards, Student Access packages, and trainer support for training students on Zoho Books and related modules.
1.2 Training Partner (TP) intends to offer Zoho Books training programs using the LMS and Student Access packages purchased from InPAT Pro.
1.3 This Agreement defines the terms applicable to TP's engagement, usage rights, trainer certification, student access and operational obligations.
2.1 InPAT Pro appoints TP as a non-exclusive Training Partner.
2.2 TP shall deliver training only through Trainers who are trained & certified as per Zoho guidelines.
2.3 The partnership does not create franchise, employment, agency, or joint venture.
3.1 TP has agreed to purchase minimum number of annual Student Access as specified in Annexure-A.

3.3 TP shall adopt a tiered fee structure for Certification Program as specified in AnnexureA based on the location at which the training is offered in consultation with InPAT pro. Training Partner shall not modify such mutually agreed fee structure without prior approval.
3.4 Student Access is valid for 1 year from the date of activation.
3.5 Access are non-refundable and non-transferable.
4.1 TP has agreed to purchase the minimum number of annual Student Access quantity and the price as per Annexure-A.
4.2 TP shall renew the license with same number of Student Access Every year. Failure to do so shall lead to suspension or termination.
4.3 The price for Student Access is specified in Annexure A of this Agreement and is subject to change over time.
4.4 Any unused Student Access expires, if not used before the plan expiry or if renewal is not completed by due date.
5.1 Trainer Training and Certification are provided only for trainer enablement and only certified Trainers may conduct training sessions.
5.2 Trainer Certification MRP and TP-eligible free trainer certifications are stated in Annexure-A.
5.3 Eligible Trainer Certifications are FREE for TP.
5.4 Trainer personnel must:

5.6 Zoho reserves the right to revise trainer certification criteria.
6.1 Students must achieve a minimum 80% score (Zoho-Determined Certification Criteria).
6.2 Enrolled Trainees who have failed to clear the assessment test(s) may re-appear for the assessment test.
6.3 Zoho may modify certification criteria at its discretion.
6.4 Certification is issued directly by Zoho Corporation Pvt. Ltd.
7.1 A dedicated Dashboard shall be provided to TP to manage:
7.2 InPAT Pro shall provide technical support without any additional cost for LMS operation, activation, trainer onboarding and troubleshooting.
7.3 TP must provide its own website for integration with InPAT Pros LMS.
7.4 Website development services are NOT included as part of this agreement.
7.5 TP is responsible for website maintenance, hosting and uptime.

8.3 The Training Partner shall ensure that the training program conducted for the Enrolled Trainees are in a professional and competent manner
8.4 The Training Partner shall not claim, imply, or suggest any employment, endorsement, affiliation, or sponsorship by InPAT pro or Zoho, nor make any representations or promises on InPAT pro or Zohos behalf, except to accurately state the relationship permitted under this Agreement.
8.5 The Training Partner shall solely handle all trainee queries, issues, and disputes related to the Certification Program and make best efforts to resolve them.
9.1 InPAT Pro grants TP a non-exclusive, non-transferable, non-sublicensable license to use the LMS and content for TPs enrolled students.
9.2 All intellectual property remains with InPAT Pro.
9.3 Copying, distributing, reselling, modifying, or sharing content is prohibited.
The Training Partner may receive confidential, non-public information related to the Certification Program. Such information must be used only for fulfilling obligations under this Agreement and must not be disclosed without InPAT Pros written consent. The Training Partner shall protect this information with the same care used for its own confidential data, and at least with reasonable protection. The Training Partner shall also ensure that its Trainers follow confidentiality obligations equally protective as those in this Agreement.
Training Partner agrees that, during the term of the Agreement and for a period of two(2) years after the expiration or termination of the Agreement, InPAT pro may, upon reasonable written notice to the Training Partner, audit the Certification Program provided and managed by the Training Partner and Training Partner's compliance with the terms of this Agreement.
Training Partner shall indemnify, defend and hold InPAT pro including its officers, directors, employees, contractors and assigns harmless from and against any loss, liability, damage, expense (including reasonable attorneys' fees) arising as a result of any claim, action, or proceedings in connection with (i) the Certification Program; or (ii) any breach of its representations, warranties or obligations set forth in this Agreement (individually, a "Claim," and collectively, the "Claims").
13.1 This Agreement will be valid for a period of one (01) year from the Effective Date (Initial Term) and thereafter will automatically renew for successive terms of one (01) year (each, a Renewal Term). Either party may terminate this Agreement, which shall become effective at the end of the Initial Term or applicable Renewal Term, by giving atleast a one month written notice to the other party prior to the expiry of the Initial Term or any Renewal Term.
13.2 InPAT pro may terminate this Agreement, at any time, for breach of any of the terms of this Agreement by the Training Partner, if such breach is capable of being cured and is not cured by Training Partner within thirty (30) days of written notice by InPAT pro informing Training Partner of such breach.
13.3 Either party may terminate this Agreement for convenience, at any time, upon providing a written notice of thirty (30) days to the other party.
13.4 Upon termination:
Jurisdiction for all disputes shall be exclusively with the Courts of Bangalore, Karnataka.
